Affiliate Terms of Service

1. Acceptance of Terms

By applying to and participating in the Khora Affiliate Program ("Program"), you ("Affiliate" or "you") agree to be bound by these Terms of Service ("Terms"), all applicable laws and regulations, and any additional guidelines, rules, or policies provided by Khora. If you do not agree with any part of these Terms, you must not apply to or participate in the Program.

2. Program Overview

The Khora Affiliate Program allows approved affiliates to earn commissions by referring restaurants to the Khora platform. Affiliates receive a unique referral code and tracking link. When a referred restaurant creates a listing, claims their business, and subscribes to a paid plan, the affiliate earns a commission based on the commission rate in effect at the time of conversion.

3. Commission Structure

Affiliates earn commissions on qualifying conversions — when a referred restaurant completes a paid subscription on Khora. The commission is calculated as follows:

• Percentage-based: A percentage of the restaurant's first subscription payment, as specified in the affiliate's profile or the global default rate.
• Flat-fee: A fixed amount in GHS per qualifying conversion, as specified in the affiliate's profile or the global default.

The commission rate applicable to each conversion is the rate in effect at the time the conversion occurs. Per-affiliate commission overrides may be negotiated for top-performing affiliates at Khora's sole discretion.

4. Commission Rate Changes — No Prior Notice Required

By participating in the Program, you acknowledge and agree that:

• Commission rates may change at any time, including reductions or increases, without any advance notification.
• Khora is not obligated to notify affiliates of rate changes via email, dashboard notification, or any other channel.
• The commission rate displayed in your affiliate dashboard at the time of a conversion is the rate that will be applied.
• It is your responsibility to check the current rate before referring restaurants.
• Any disputes regarding commission rates must be raised within 30 days of the conversion date.

5. Payout Terms

Commissions are paid out according to the following terms:

• Minimum payout threshold: Affiliates must accumulate a minimum balance (default: GH₵100, subject to change) before requesting a payout.
• Payout methods: Mobile money (MTN, Vodafone, AirtelTigo), bank transfer, or PayPal, as configured in the affiliate's profile.
• Processing time: Payouts are processed within 30 days of request, subject to verification.
• Payout currency: All commissions are calculated and paid in Ghana Cedis (GHS).
• Tax responsibility: Affiliates are responsible for reporting and paying any taxes on commission earnings. Khora does not withhold taxes from payouts.

6. Referral Attribution

Referrals are attributed to affiliates via unique referral codes embedded in tracking links. The attribution window (default: 30 days) determines how long after an affiliate's referral a restaurant signup is still credited to that affiliate. If a restaurant is referred by multiple affiliates, the first referral takes precedence. Khora's determination of attribution is final.

7. Affiliate Obligations

Affiliates must:

• Provide accurate and truthful information during signup and in all referral submissions.
• Represent Khora accurately and professionally in all marketing materials.
• Comply with all applicable Ghanaian and international laws, including consumer protection and data privacy regulations.
• Not engage in spam, unsolicited mass marketing, or any form of deceptive advertising.
• Not make false or misleading claims about Khora, its services, or commission rates.
• Maintain the confidentiality of their referral code and not share it with unauthorized parties.

8. Prohibited Activities

The following activities are strictly prohibited and may result in immediate suspension, termination, and forfeiture of unpaid commissions:

• Self-referrals: Referring restaurants that you own, operate, or have a financial interest in.
• Fraudulent referrals: Submitting fake, duplicate, or non-existent restaurant leads.
• Brand bidding: Bidding on "Khora" or related branded keywords in search engine advertising.
• Misrepresentation: Claiming to be an employee, representative, or official agent of Khora.
• Coupon or discount misuse: Creating or promoting unauthorized coupon codes or discounts.
• Incentivized clicks: Paying or incentivizing users to click on referral links.
• Cookie stuffing: Setting tracking cookies without the user's explicit consent or knowledge.

9. Intellectual Property

Khora grants affiliates a limited, non-exclusive, revocable license to use Khora's logos, trademarks, and marketing materials solely for the purpose of promoting Khora through the affiliate program. This license terminates immediately upon suspension or termination of the affiliate account. Affiliates must not modify, alter, or misuse Khora's intellectual property.

10. Account Suspension and Termination

Khora reserves the right to suspend or terminate any affiliate account at any time, with or without cause. Grounds for suspension or termination include but are not limited to:

• Violation of these Terms or any Khora policies.
• Engaging in prohibited activities as described in Section 8.
• Inactivity for a period of 180 consecutive days.
• Fraudulent or deceptive behavior.
• Any activity that harms Khora's reputation or business.

Upon termination, all unpaid commissions may be forfeited at Khora's discretion. Affiliates may terminate their participation at any time by contacting Khora support.

11. Limitation of Liability

Khora shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from or related to the affiliate program. Khora's total liability for any claim arising from the affiliate program shall not exceed the total commissions earned by the affiliate in the 3 months preceding the claim.

12. Indemnification

Affiliates agree to indemnify and hold harmless Khora, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from the affiliate's breach of these Terms, violation of any law, or infringement of any third-party rights.

13. Privacy and Data Protection

Affiliates acknowledge that Khora collects and processes personal data in accordance with its Privacy Policy. Affiliate data, including name, email, phone, and payout details, is used solely for the administration of the affiliate program and is not shared with third parties except as required by law.

14. Changes to These Terms

Khora reserves the right to update or modify these Terms at any time and without prior notice. The most current version will always be available on this page with the updated version number and date. Continued participation in the affiliate program after any changes constitutes acceptance of the revised Terms. Affiliates are encouraged to review these Terms regularly.

15. Governing Law

These Terms are governed by the laws of the Republic of Ghana. Any disputes arising from or related to the affiliate program shall be resolved in the courts of Ghana, unless otherwise agreed in writing.
